Aniwa Gathering Vendor Agreement (2025)
This Vendor Agreement ("Agreement") is entered into between Aniwa Gathering LLC ("Organizer" or "Event") and you, the participating Marketplace Vendor ("Vendor"). By submitting payment for vendor space at the 2025 Aniwa Gathering, you agree to the following terms and conditions. This Agreement becomes legally binding upon payment.
1. Vendor Responsibilities
Vendor is responsible for the full setup, maintenance, operation, and takedown of their booth during the hours and at the location designated by the Organizer.
Booth space may not be assigned, shared, or sublet without prior written approval from the Organizer.
Vendor must operate in a clean, safe, and respectful manner that aligns with the spiritual and community values of the Event.
2. Permitted Sales & Prohibited Items
All products and services must comply with applicable local, state, and federal laws.
The following items are strictly prohibited from being sold, gifted, distributed, or promoted at the Event:
Illegal drugs or controlled substances
Hapé (rapé), mushrooms, ayahuasca, peyote, or any other psychoactive substances or plant medicines
Alcohol, tobacco, or vape products
Firearms or weapons
Any material deemed dangerous, culturally exploitative, or offensive by the Organizer
Sale of food, drinks or any consumption substances must be submitted to organizer separately for prior approval.
Services or products that require a license (e.g., massage therapy or bodywork) must be properly certified and disclosed to the Organizer in advance.
3. Liability & Assumption of Risk
Vendor assumes all risks associated with participation in the Aniwa Gathering and, to the fullest extent permitted by law, hereby releases, waives, discharges, and agrees to hold harmless and indemnify Aniwa Gathering LLC, Aniwa Collective, their affiliates, directors, officers, employees, agents, volunteers, contractors, and landowners (collectively, the "Released Parties") from any and all claims, liabilities, losses, damages, costs, or expenses (including attorneys’ fees) arising out of or in any way related to Vendor’s participation in the Event, including but not limited to claims for personal injury, property damage, or economic loss, whether caused by the negligence of the Released Parties or otherwise, except to the extent caused by the gross negligence or willful misconduct of the Released Parties.
Vendors is required to obtain their own general liability insurance. This must be submitted prior to May 20th, 2025. Vendor will not be permitted to setup stall without document in hand.
4. Cancellations, Refunds & Force Majeure
All vendor fees are non-refundable, including in cases of weather, personal emergencies, or travel issues.
If the Event is fully canceled by the Organizer, vendors will be offered the option to transfer their payment to a future event.
The Organizer shall not be held liable for any failure to perform or any delay in the performance of its obligations under this Agreement due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, fires, floods, pandemics, epidemics, public health emergencies, government orders or restrictions, labor disputes, strikes, war, civil unrest, terrorism, transportation disruptions, or utility failures (“Force Majeure Events”). In the event that the Aniwa Gathering is canceled, postponed, relocated, or materially altered due to a Force Majeure Event, Vendor acknowledges and agrees that the Organizer shall not be liable for any resulting losses, costs, or damages, including lost profits or travel expenses. If the Event is canceled in its entirety due to a Force Majeure Event, the Organizer, at its sole discretion, may offer Vendor either a full or partial refund, or the option to apply Vendor’s payment to a future event.
5. Conduct & Community Standards
Vendor agrees to maintain a respectful, inclusive, and culturally sensitive presence at all times.
Discrimination, hate speech, cultural appropriation, or any behavior deemed disruptive or harmful may result in immediate removal from the Event without refund.
Absolutely no live flame, including candles.
No amplified sound without prior written approval from the Organizer.
6. Media Release
By participating as a vendor at the event, the undersigned grants Aniwa Gathering LLC and its affiliates, successors, licensees, and assigns the irrevocable right and permission to capture, use, reproduce, distribute, and publish photographs, video recordings, audio recordings, and any other forms of media that include the vendor’s image, likeness, voice, name, business name, and/or products, taken or recorded during the event. These materials may be used in any and all media formats now known or hereafter developed, for promotional, advertising, archival, or any other lawful purpose without compensation or further approval.
7. Agreement Acknowledgment
By submitting payment, Vendor confirms they have read, understood, and agreed to all terms of this Agreement. This Agreement is effective immediately upon purchase and is governed by the laws of the State of California.
