Aniwa Terms of Use

These Terms of Use ("Terms") are a legal agreement between you and Aniwa Digital C Corp ("Aniwa," "we," "us," or "our"), a Wisconsin corporation. These Terms govern your access to and use of the Aniwa website, the Global Portal, our online community, courses, memberships, retreats, marketplace, and all related services (collectively, the "Services").
By creating an account, purchasing a membership or course, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services. Our Privacy Policy is incorporated into these Terms by reference and describes how we collect and use your information.
1. Eligibility and Minors
You must be at least 13 years old to create an account or use the Services.
If you are between 13 and 17 years old, you may only use the Services with the involvement, consent, and supervision of a parent or legal guardian. Your parent or legal guardian must review and agree to these Terms, including Section 16 (Dispute Resolution and Arbitration), on your behalf before you use the Services, and by permitting you to use the Services, they accept these Terms as the responsible contracting party and are jointly responsible for your conduct and any charges incurred on your account.
If you are a parent or guardian and believe your minor child has created an account without your consent, contact us at hello@aniwa.co and we will take steps to deactivate the account.
2. Accounts
You agree to provide accurate information when creating your account and to keep it up to date. You're responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
Transactional emails. Regardless of whether you subscribe to marketing emails, we will continue to send you transactional and account-related emails — such as purchase confirmations, billing notices, password resets, and important updates about the Services or these Terms — for as long as your account exists. Opting out of marketing emails does not opt you out of these transactional communications. You may request full account deletion at any time by contacting hello@aniwa.co, after which transactional emails will stop (subject to any records we're required to retain by law).
3. The Services
Aniwa offers, among other things:
- Single course enrollment — one-time access to an individual course.
- Memberships (3-month and 12-month) — subscription access to our course catalog and community.
- Community — a member community hosted on a third-party platform (Circle), subject to Circle's Privacy Policy and our Community Conduct rules (Section 7).
- Retreats — in-person and virtual retreats and gatherings hosted or organized by Aniwa.
- Elder teachings and readings — content and sessions offered directly by Aniwa's affiliated elders and teachers.
- Marketplace — physical and digital products available for purchase.
We may add, change, or discontinue any part of the Services at any time.
4. Purchases, Billing, and Cancellation
4.1 Single course enrollment
Purchasing a single course grants you access to that course for 30 days from the date of purchase. All single-course purchases are final and non-refundable, regardless of whether you access the course content.
4.2 Memberships (3-month and 12-month)
A membership grants you unlimited access to our course catalog for the duration of your subscription term.
Auto-renewal. Memberships automatically renew at the end of each term (every 3 months or every 12 months, as applicable) at the then-current price, using the payment method on file, unless you cancel before the renewal date. We will make reasonable efforts to notify you in advance of renewal by email.
Cancellation. You may cancel auto-renewal at any time through your account settings or by contacting hello@aniwa.co. Cancellation takes effect at the end of your current billing term — you will retain access through the end of the term you already paid for.
No refunds. Except as required by law, all membership payments are non-refundable, including for partial periods, unused access, or early cancellation. Canceling stops future renewals; it does not refund the current term.
12-month membership perks. While supplies and promotions last, a 12-month membership includes:
- A complimentary physical planner (while the promotion is active; subject to change or discontinuation without notice, and to shipping to eligible addresses).
- 10% off one regular-priced retreat, subject to availability for each specific retreat. This discount does not apply to retreats that are already discounted, sold out, or otherwise excluded at Aniwa's discretion, and cannot be combined with other retreat offers unless we say otherwise.
- 5% off physical products in the Aniwa marketplace, for the duration of the active 12-month membership term.
Perks are personal to the membership holder, are non-transferable, have no cash value, and may be modified, paused, or discontinued by Aniwa at any time, including for memberships already in progress, except where a perk has already been redeemed.
4.3 Referral policy
Aniwa's referral program currently works as follows: when you refer a friend and they redeem an offer of $20 off a 3-month membership or $40 off a 12-month membership, you receive $40 off an elder reading.
Referral rewards are subject to the specific terms presented at the time of the offer, may be limited (for example, in number of redemptions, timing, or eligibility), have no cash value, are non-transferable, and may be changed, paused, or discontinued by Aniwa at any time, including as to referrals already sent but not yet redeemed. We may deny or claw back referral rewards obtained through fraud, abuse, or violation of these Terms.
4.4 General billing terms
Prices are subject to change; we'll provide reasonable notice before a price change affects your next renewal. You authorize us and our payment processor (Stripe) to charge your payment method for all applicable fees and taxes. You're responsible for keeping your payment information current — failed payments may result in suspension or cancellation of your access.
5. Health, Safety, and Assumption of Risk
Aniwa's content, courses, teachings, community, and retreats are offered for educational, spiritual, and personal-growth purposes only. They are not medical, psychological, therapeutic, financial, or professional advice, and are not a substitute for care from a qualified professional. You should consult an appropriate licensed professional before making decisions about your physical or mental health, and should not disregard or delay seeking professional advice because of anything you encounter through the Services.
You are solely responsible for your own physical, emotional, and spiritual well-being while using the Services, including while participating in courses, community discussions, elder teachings, readings, and retreats, whether hosted by Aniwa or organized informally among members. Practices offered through Aniwa (including breathwork, movement, meditation, and similar practices) may not be appropriate for everyone; you should use your own judgment and consult a physician if you have any medical condition or concern before participating.
By using the Services, you voluntarily assume all risks — physical, emotional, financial, and spiritual — associated with that use, to the fullest extent permitted by law. This includes risks arising from courses and content, community interactions, elder teachings and readings, and retreats or gatherings, whether or not organized or hosted by Aniwa.
Nothing in this section is intended to waive liability that cannot lawfully be waived, including liability for gross negligence, willful misconduct, or fraud, or any rights that consumer protection law does not allow to be limited.
6. Aniwa-Hosted Retreats and Elder Teachings vs. Member-Organized Practices
Aniwa can only vouch for, and takes responsibility for the safety and quality of, retreats and elder teachings that are directly hosted, organized, or officially offered by Aniwa ("Aniwa Retreat Spaces" and "Elder Teachings").
Aniwa does not vet, endorse, supervise, or guarantee the safety, competence, or legitimacy of healing practices, retreats, sessions, or offerings that community members arrange with or offer to one another independently, even if discovered through or discussed on the Services. If you choose to engage in such member-to-member offerings, you do so entirely at your own risk, and Aniwa has no responsibility or liability for the outcome.
No responsibility for elder-provided outcomes. Even where a session is directly offered or hosted by Aniwa, the specific guidance, advice, healing practices, or recommendations given by an individual elder are that elder's own independent perspective — not a guarantee, promise, or professional service from Aniwa, and not medical, psychological, financial, or other licensed professional advice (see Section 5). Aniwa is not responsible for, and disclaims all liability for, the outcome, effectiveness, or consequences of any private reading, healing, advice, or practice recommended or performed by an elder, whether during a 1:1 healing, a retreat, an online course, or any other conversation with an elder. You are responsible for evaluating any elder's guidance for yourself and deciding whether and how to act on it.
7. Community Conduct
We do our best to make the Aniwa community a safe space, but we are not responsible for the conduct of other members, including anything another member says, does, offers, or represents to you through the Services.
In-person meetups. If you choose to meet any other member in person — whether arranged through Aniwa's community, a retreat, or otherwise — that meeting and everything that happens during it is between you and that individual. Aniwa is not responsible for, and disclaims all liability related to, any in-person interaction between members.
Prohibited conduct. You may not use the Services to insult, provoke, threaten, harass, harm, discriminate against, or endanger any other person, including yourself. If we determine, in our reasonable discretion, that you have used the Services with the intent to harm or discriminate against another person, we may immediately suspend or terminate your account and access to the Services, without refund.
Reporting. If another member harms, threatens, or makes you feel unsafe, please report it to us at hello@aniwa.co. We will review reports and may take action — including warning, suspending, or permanently banning a member — at our sole discretion, to help protect the community. We can't guarantee any particular outcome or response time, and reporting a concern does not create an obligation for us to take any specific action.
8. User Content
If you post, share, or submit content through the Services (for example, in the community, comments, or profile), you retain ownership of it, but you grant Aniwa a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, display, and distribute that content as necessary to operate and promote the Services. You're solely responsible for content you submit, and you represent that you have the right to share it and that it doesn't violate these Terms or any law.
We may remove content or restrict access to it at our discretion, including content that violates these Terms, without notice.
9. Intellectual Property
All courses, teachings, recordings, written materials, branding, and other content Aniwa provides through the Services (excluding user content) are owned by Aniwa or its licensors and protected by copyright and other intellectual property laws. Your membership or course purchase grants you a limited, personal, non-transferable, non-exclusive license to access that content for your own personal, non-commercial use during your access period. You may not copy, redistribute, resell, publicly perform, record, or create derivative works from Aniwa content without our prior written permission.
10. Prohibited Uses
In addition to the community conduct rules in Section 7, you agree not to:
- Share your account or membership access with anyone else, or access the Services using another person's account;
- Copy, scrape, reverse-engineer, or redistribute course content or the platform itself;
- Use the Services for any unlawful, fraudulent, or harmful purpose;
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- Interfere with or disrupt the integrity or performance of the Services;
- Attempt to circumvent payment for any paid content or feature.
We may suspend or terminate access for violations of this section, without refund.
11. Third-Party Services
Parts of the Services rely on third-party providers, including Circle (community hosting), Stripe (payments), Lulu (print and shipping of physical products), and others described in our Privacy Policy. Your use of those integrated services may also be subject to that provider's own terms. Aniwa is not responsible for the acts, omissions, availability, or policies of third-party providers.
12. Termination
You may stop using the Services and request account deletion at any time by contacting hello@aniwa.co. We may suspend or terminate your account or access to the Services at any time, with or without notice, if we believe you've violated these Terms, engaged in conduct harmful to Aniwa or its community, or for any other reason at our discretion. Sections that by their nature should survive termination (including Sections 5, 6, 9, 13–17) will survive.
13. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any content will meet your expectations or produce any particular outcome, spiritual, emotional, physical, or otherwise. Some jurisdictions don't allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
14. Limitation of Liability
To the fullest extent permitted by law: Aniwa, its officers, employees, elders, teachers, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or for any physical, emotional, or spiritual injury or harm, arising out of or related to your use of the Services, including content, community interactions, elder teachings, readings, 1:1 healings, and any advice or practices recommended or performed by an elder (see Section 6), retreats (whether Aniwa-hosted or member-organized), and interactions with other members, even if we've been advised of the possibility of such damages.
To the fullest extent permitted by law, Aniwa's total aggregate liability for any claim arising out of or relating to the Services will not exceed the amount you paid to Aniwa in the 12 months before the claim arose.
Nothing in this section limits liability that cannot be limited under applicable law, including liability for gross negligence, willful misconduct, fraud, or death or personal injury caused by our gross negligence, where such limitation is prohibited by the law of your jurisdiction.
15. Indemnification
You agree to indemnify and hold Aniwa and its officers, employees, elders, teachers, and affiliates harmless from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your violation of these Terms, your content, or your interactions with other members, except to the extent caused by Aniwa's own gross negligence or willful misconduct.
16. Dispute Resolution and Arbitration Agreement
Please read this section carefully — it affects your legal rights and requires most disputes to be resolved by individual arbitration rather than in court.
16.1 Agreement to arbitrate. You and Aniwa agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services — including disputes about the scope, applicability, enforceability, or validity of this arbitration agreement — will be resolved by binding, individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court, except as set out below.
16.2 Class action waiver. You and Aniwa each agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of a class or representative proceeding.
16.3 Exceptions. Either party may bring an individual claim in small claims court instead of arbitration, if the claim qualifies. Either party may also seek injunctive or other equitable relief in court to protect its intellectual property rights or to prevent unauthorized access to or misuse of the Services.
16.4 Right to opt out. You may opt out of this arbitration agreement by sending written notice to hello@aniwa.co within 30 days of the date you first agree to these Terms. Your notice must include your name, the email address on your account, and a clear statement that you wish to opt out of arbitration. If you opt out, neither you nor Aniwa will be required to arbitrate, but all other provisions of these Terms, including the class action waiver in Section 16.2 (which independently applies to any court proceeding to the extent enforceable), continue to apply.
16.5 Minors. If you are under 18, the parent or guardian who accepted these Terms on your behalf under Section 1 is the party bound by this arbitration agreement with respect to your use of the Services.
16.6 Process. The arbitration will be conducted in English and may be conducted by telephone, videoconference, or based on written submissions where permitted by AAA rules, at the election of the party seeking relief for claims under $10,000. Each party is responsible for its own attorneys' fees unless the arbitrator awards fees as provided by applicable law or AAA rules. If any part of this arbitration agreement is found unenforceable, the rest remains in effect, except that if the class action waiver in Section 16.2 is found unenforceable as to a particular claim, that claim (and only that claim) will proceed in court rather than arbitration.
17. Governing Law and Venue
These Terms are governed by the laws of the State of Wisconsin, without regard to conflict-of-laws principles. For any dispute not subject to arbitration under Section 16 (including small claims and equitable relief actions), you and Aniwa agree to the exclusive jurisdiction and venue of the state and federal courts located in Wisconsin.
18. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we'll update the "Last updated" date and take reasonable steps to notify you, such as by email or a notice on the Services. Continuing to use the Services after changes take effect means you accept the updated Terms. If you don't agree to the changes, you should stop using the Services and may cancel your membership as described in Section 4.2.
19. Miscellaneous
Entire agreement. These Terms, together with our Privacy Policy and any additional terms presented for specific features (such as a retreat's specific waiver), make up the entire agreement between you and Aniwa regarding the Services.
Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable (except as otherwise stated in Section 16.6).
No waiver. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
Force majeure. We are not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, acts of government, labor disputes, or internet or utility failures.
